Client challenge
Our end client wants to gain a much better understanding of its current SAP license consumption, explore future contractual options, and receive expert support throughout the decision-making and negotiation process.
The current SAP framework agreement has been in place since 2013–2014 and covers:
SAP ECC and SAP applications under Enterprise Support.
Custom developments (CDP) to support specific credit insurance services.
SAP Business Technology Platform (BTP).
SAP only offers extended maintenance for ECC until 2030 for selected products, which means the client must prepare for eventual renegotiation and/or migration towards more recent SAP products such as S/4HANA. The goal is to define future‑proof contractual agreements aligned with the client’s roadmap.
Key focus areas include:
SAP licensing baseline – what is currently deployed and effectively used.
Future contracting possibilities and options (license models, cloud vs on‑prem, S/4 paths).
Identification of key contractual clauses to ensure completeness, flexibility, transparency, risk mitigation and cost optimisation.
Aligning the future Bill of Materials (BoM) and metrics with the required SAP modules and functionalities in the target landscape, based on the client’s SAP roadmap and input from Product Owners and other stakeholders.
Assignment context
The SAP Licensing & Contracting Expert will work closely with the client’s IT, procurement and finance teams, while being contracted and supported by ITProposal B.V.
Solution approach / Responsibilities
SAP baseline creation
Collect and process technical and usage data from all relevant SAP systems.
Perform license calculations and a compliance reconciliation to build a detailed license and deployment baseline.
Present results to key stakeholders and management, highlighting optimisation opportunities and risks.
SAP contracting insights & considerations
Review existing contractual use rights, terms and conditions for all relevant SAP products.
Identify and list key contractual considerations and clauses (e.g. legal, operational, financial, licensing).
Provide targeted guidance on SAP S/4HANA contracts: do’s, don’ts and common pitfalls, tailored to the client’s situation.
Sourcing & procurement approach
Define an overall sourcing and negotiation approach for future SAP discussions.
Highlight key factors to consider when choosing between the different S/4HANA licensing and deployment models (perpetual, subscription, cloud options, etc.).
Outline a target product and suite mix (high‑level BoM) aligned with the to‑be SAP architecture.
SAP sourcing & procurement support
Support the client in preparing the SAP sourcing strategy and internal decision documents.
Provide benchmarking input where possible (typical models, clauses, industry practices).
Review SAP proposals and communications and provide feedback and negotiation arguments.
Expected outcomes
With the above activities and reports, the client will obtain:
A detailed deployment and license baseline, including a compliance overview for SAP as a strategic vendor.
An assessment of possible future contractual models and licensing options for ECC → S/4HANA.
A clear list of key clauses and considerations to take into account during future negotiations with SAP.
Strategic support and guidance for the preparation and execution of discussions and negotiations with SAP.
